Terms of Service

Welcome to Antimony. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Antimony ("we," "us," or "our") regarding your use of our financial management application, website, and services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use our Services.

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

Antimony provides an AI-powered financial management platform specifically designed for Nigerian users. Our Services include, but are not limited to:

• Automated extraction of transaction data from banking email notifications
• Transaction categorization and organization
• Budget tracking and management
• Tax preparation assistance
• Recurring transaction management
• Financial analytics and insights
• Gmail integration via OAuth

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of Services.

3.1 Account Creation

To use certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Use a strong, unique password
• Not share your account credentials with others
• Notify us immediately of any unauthorized access
• Log out after each session, especially on shared devices

3.3 Accuracy of Information

While we strive for accuracy in extracting and categorizing your transactions, you are responsible for reviewing and verifying the accuracy of all information displayed in your account. You should report any errors or discrepancies to us promptly.

4.1 OAuth Authorization

Our Gmail integration uses Google OAuth 2.0 to access your Gmail account with read-only permissions. By connecting your Gmail account, you authorize us to:

• Read emails from your Gmail account
• Identify and extract transaction information from bank notification emails
• Store extracted transaction data in your Antimony account

4.2 Data Access Limitations

We only access emails that match patterns consistent with bank transaction notifications. We do not:

• Read your personal correspondence
• Access emails unrelated to financial transactions
• Share your email content with third parties
• Modify or delete any of your emails

4.3 Revocation

You may revoke Gmail access at any time through your account settings or through your Google Account permissions. Revoking access will stop automatic transaction syncing but will not delete previously synced data.

5.1 Subscription Plans

Antimony offers both free and paid subscription plans. Paid plans provide access to premium features such as unlimited transactions, advanced budgeting, tax tracking, and recurring transaction management.

5.2 Billing and Payment

Paid subscriptions are processed through Paystack, our third-party payment processor. By subscribing, you agree to:

• Pay all fees associated with your chosen subscription plan
• Provide accurate billing information
• Authorize recurring charges for subscription renewals
• Pay any applicable taxes

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your subscription plan.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial subscription periods, except as required by law.

5.5 Price Changes

We reserve the right to change subscription prices. We will provide you with at least 30 days' notice before any price increase takes effect. Your continued use of the Services after a price increase constitutes acceptance of the new price.

6.1 Our Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, software, and AI models, are the exclusive property of Antimony and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.

6.2 Your Data

You retain all rights to your personal data and transaction information. By using our Services, you grant us a limited license to use your data solely to provide and improve our Services as described in our Privacy Policy.

6.3 Restrictions

You may not:

• Copy, modify, or create derivative works of our Services
• Reverse engineer, decompile, or disassemble our software
• Remove any copyright or proprietary notices
• Use our Services to build a competing product or service
• Scrape, crawl, or use automated means to access our Services

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our Services
• Use our Services for fraudulent purposes
• Impersonate another person or entity
• Harass, abuse, or harm others
• Collect or store personal data of other users
• Use our Services in any manner that could damage our reputation

We reserve the right to investigate and take appropriate legal action against anyone who violates these prohibitions.

8.1 Uptime

While we strive to maintain high availability, we do not guarantee that our Services will be uninterrupted or error-free. We may experience downtime for maintenance, updates, or unforeseen issues.

8.2 No Financial Advice

Antimony provides tools for tracking and managing your finances but does not provide financial, investment, tax, or legal advice. You should consult qualified professionals for such advice.

8.3 AI Accuracy

Our AI models strive for high accuracy but are not perfect. We do not guarantee 100% accuracy in transaction extraction or categorization. You are responsible for verifying the accuracy of all data.

8.4 Bank Support

While we support over 100 Nigerian banks, we cannot guarantee support for all banks or all email formats. Bank notification formats may change, which could temporarily affect our Services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTIMONY, ITS DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from reliance on information provided through our Services
• Any damages arising from interruption or cessation of our Services

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ₦10,000, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Antimony, its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you submit through our Services

11.1 By You

You may terminate your account at any time through your account settings or by contacting us at support@antimony.com.ng. Upon termination, your access to our Services will cease.

11.2 By Us

We may suspend or terminate your account immediately, without prior notice, if we believe you have violated these Terms or for any other reason at our sole discretion.

11.3 Effect of Termination

Upon termination, your right to use our Services immediately ceases. We will delete your data in accordance with our Privacy Policy, except where we are required to retain it for legal or regulatory reasons.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

You agree to submit to the exclusive jurisdiction of the courts located in Lagos, Nigeria, for the resolution of any disputes arising from these Terms or your use of our Services.

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@antimony.com.ng to attempt to resolve the issue informally. We will work in good faith to resolve the dispute.

13.2 Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the Arbitration and Mediation Act of Nigeria, unless you opt out within 30 days of accepting these Terms.

13.3 Class Action Waiver

You agree to bring claims against us only in your individual capacity and not as part of any class or representative action.

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending you an email notification (for significant changes)

Your continued use of our Services after any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using our Services and delete your account.
